Ugle — End User Licence Agreement

1. What this agreement covers, and what it does not

Ugle is proprietary software (see LICENSE). This agreement is the entire agreement between you and the Licensor governing your use of the Ugle builds the Licensor distributes: the licence granted to you, the paid licence keys and activation service the Licensor operates, and the warranty and liability terms on which the compiled binaries are supplied.

The Licensor grants you a non-exclusive, non-transferable licence to install and use the builds it distributes, on the number of machines and for the term stated at purchase. You may not copy, redistribute, sublicense, modify, or create derivative works of those builds, nor reverse engineer, decompile, or disassemble them, except to the extent that such an act cannot lawfully be prohibited in your jurisdiction.

This agreement does not govern the third-party components bundled with the builds. Those are licensed separately by their owners under the terms listed in NOTICE, which ships with the application. Some of those components are free and open-source software, and nothing in this agreement removes, restricts, or conditions any right their own licences grant you. Where this agreement conflicts with a bundled component's own licence as it applies to that component, that licence prevails.

Ugle versions up to and including 0.5.6 were released under the GNU Affero General Public License v3.0. That licence continues to apply to those versions. This agreement applies to version 0.5.7 and later.

2. Licence keys and activation

A paid licence key entitles you to activate the Licensor's distributed builds on the number of machines stated at purchase, for the term stated at purchase. Activation binds a key to a machine fingerprint stored locally on that machine.

Expiry of a paid term does not delete your data, your media, or your generated transcripts and indexes. It restricts the features the Licensor's builds gate behind an active licence.

2.1 Periodic licence check

Ugle verifies your licence offline, against a signed licence record stored on your machine. That record is issued for a limited period. While your licence is active, the software refreshes the record automatically in the background when it is next started with an internet connection available. You do not need to do anything, and you are not required to be online to use Ugle day to day.

If the stored record has not been refreshed before it lapses — for example because the machine has been offline for an extended period — Ugle restricts the features gated behind an active licence until it is next started with a connection. The software warns you in advance of that happening. Nothing is deleted, and access is restored as soon as the record is refreshed.

The refresh sends only your licence key and the machine identifier already bound to it. It never transmits your media, transcripts, search queries, or file names. See also section 4.

The Licensor may revoke a licence that has been refunded, charged back, or used in breach of this agreement. Revocation takes effect on that machine when its stored record next lapses or is refreshed.

2.2 Refunds

Unless a different period is stated at purchase, a paid licence may be refunded within 15 days of purchase. Requesting a refund ends your licence: on refund, the Licensor revokes the key, and section 2.1 governs when that takes effect on your machine.

3. No warranty of accuracy — transcription, search, and diarization

This clause survives any evaluation result the Licensor publishes.

Ugle produces automatic speech recognition output, speaker attributions, and search rankings using statistical models. These are estimates, not records. They will contain errors. The Licensor makes no representation that any transcript is complete or verbatim, that any speaker label is correct, that any search result set is exhaustive, or that the absence of a search result means the searched-for content is absent from your library.

Accuracy varies materially and unpredictably with language, accent, code-switching between languages, recording quality, overlapping speech, and background noise. Known limitations are documented in the product documentation and are not exhaustive.

No benchmark, evaluation, internal measurement, or marketing statement — whether published by the Licensor or by a third party, and regardless of how favourable — constitutes a warranty of accuracy, creates any guarantee of a particular result, or modifies this clause. You must not rely on Ugle output as the sole basis for any legal, medical, financial, employment, journalistic, evidentiary, or safety-critical decision, and you are responsible for independently verifying any output you rely on.

4. Your content

Ugle processes your media locally on your machine. The Licensor does not receive, store, or process your media, transcripts, or search queries as part of normal operation. Network communication is limited to licence activation, the periodic licence check described in section 2.1, update checks, and any support bundle or feedback you explicitly choose to send. You retain all rights in your own content.

5. Third-party components

The Licensor's builds bundle third-party software and model weights, each under its own licence, listed in NOTICE, which ships with the application. Some bundled components are licensed under the GPL-3.0. Your rights in those components come from their own licences, not from this agreement, and nothing here limits them.

6. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Licensor's distributed builds are provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. This does not exclude any warranty or right that cannot be excluded under the law applicable to you as a consumer.

7. Limitation of liability

To the maximum extent permitted by applicable law, the Licensor is not liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost data, or business interruption, arising from your use of or inability to use the software — including any loss arising from reliance on inaccurate output. The Licensor's total aggregate liability under this agreement is limited to the amount you paid for the licence in the twelve months preceding the claim.

Nothing in this agreement excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.

8. Termination

This agreement applies for as long as you use the Licensor's distributed builds. It terminates automatically if you materially breach it, and on termination you must stop using and delete those builds. Your rights in the bundled third-party components under their own licences, and your rights in Ugle versions released under the AGPL-3.0, are unaffected by any termination of this agreement. Your own media, transcripts, and indexes are yours and are unaffected.

9. Governing law

This agreement is governed by the laws of India, and the courts at the Licensor's registered office have exclusive jurisdiction, except where mandatory consumer-protection law in your jurisdiction gives you the right to bring proceedings elsewhere.
